SPIDERMAN 3 CONTEST RULES (“RULES”)
   
1.
These Rules and the Contest Terms & Conditions apply. Please read them carefully.
   
2.
The SPIDERMAN 3 CONTEST (“Contest”) is valid from 11 – 14 July 2008 only. The winner will be announced by 1 August 2008.
   
3.
The Contest winner (“Winner”) stands to win a “FORD FIESTA 1.6S” car. (“Prize”). All photos/ visuals of the Prize used in all promotional materials are for illustration purposes only.
   
4.
 The Prize is non-transferable nor exchangeable for cash, credit or other consideration.
   
5.
10 lucky entries will win a HBO goodie bag.
   
6.
 Contest game play:
   
 
(a) The Contest question will appear on the TV screen during the premiere of the movie.
   
(b) Contest participants can send in their answers via SMS to 58558.
   
(c)

All entries must be received in the prescribed format; incomplete or invalid entries shall be disqualified.

   
7.
 Your attention is particularly drawn to Clause 3 of the Contest Terms & Conditions and to the following pre-conditions of Prize issuance:
   
 
(a)

The Winner shall bear and pay the 33.99% tax on Contest winning (as required by Section 194(b) Income Tax Act, 1961), including TDS (tax deduction at source), bank charges and any other taxes or charges that may be applicable. This amount is estimated to be Rs 245,000/-, with exact amount to be advised to the Winner and for which payment shall be received no later than 31 August 2008;
   
(b)

The Winner shall in addition make the following payments directly to the Prize sponsor: vehicle registration, road tax, insurance, handling charge, Octroi and any other payments required by the Prize sponsor in relation to the transfer of the Prize. These amounts vary from state to state and shall be advised to the Winner;

   
(c) The Winner shall also be responsible for ancillary and any other costs or expenses including without limitation any other taxes or foreign duties levied on or payable in relation to the Prize; and
   
(d) The Winner is required to sign and return the Winner’s Acknowledgement together with all requisite documents and information as set out in Clause 3 of the Contest Terms & Conditions no later than 20 August 2008.

SPIDERMAN 3 Contest Terms & Conditions
   
1.

“SPIDERMAN 3 Contest” (the “Contest”) is organised by HBO Pacific Partners, v.o.f. (“HBOPP”) and these Terms & Conditions shall apply to all stages of the Contest.

   
2.
 Eligibility:
   
 
(a) Only Indian Nationals permanently resident in India and who have reached the age of majority as at 1 August 2008 are eligible to participate in the Contest; and
   
(b) HBOPP, HBO Asia, each of its subsidiaries and each of their employees, contractors, agents and each of their immediate family members are not eligible to participate in the Contest.

As a condition to entry and participation in the Contest and as a condition to issuance of the prize (“Prize”), each participant (“Participant”) hereby acknowledges and agrees that in the event that he/she is selected as the winner of the Contest (“Winner”):
   
 
(a) He/She shall accept, sign and return to HBOPP no later than 20 August 2008, any and all Contest documentation in the form required by HBOPP including without limitation the Winner’s Acknowledgement together with a copy of the Pan Card and any other documents required for issuance of the Prize;
   
(b) He/ She shall make payment of the 33.99% tax on Contest winning (as required by Section 194(b) Income Tax Act, 1961), including TDS (tax deduction at source), bank charges and any other taxes or charges that may be applicable, via demand draft only (“Demand Draft”) to be received by HBOPP no later than 31st August 2008 for payment to the relevant tax authorities. This amount is estimated to be Rs 245,000/-, with exact amount and payee details to be advised to the Winner;
   
(c)
 He/ She shall provide the following personal details at the back of the Demand Draft: PAN number, full name, complete current address, contact number, company name, designation and any other details that HBOPP may require;
   
(d)
 He/ She shall in addition make the following payments directly to the Prize sponsor: vehicle registration, road tax, insurance, Octroi and any other payments required by the Prize sponsor in relation to the transfer of the Prize. These amounts vary from state to state and shall be advised to the Winner;
   
(e)
 He/ She shall be responsible for ancillary and any other costs or expenses including without limitation any other taxes or foreign duties levied on or payable in relation to the Prize;
   
(f)
 He/ She accepts that the Prize is personal to him/ her being the Winner and not transferable nor exchangeable for cash, credit or other consideration;
   
(g)
 He/ She accepts that HBOPP, HBO Companies, their agents and the Prize sponsor shall not be liable for any damage, loss, injury, delay or inconvenience relating to the issuance or use of the Prize, or for any changes in dates/ times, or cancellations which may prevent the issuance of the Prize to the Winner; and
   
(h)
 He/ She accepts, for the avoidance of doubt, that the Prize shall be forfeited if any of the conditions set out in Clause 3 are not fulfilled or breached.
   
4.
Each Participant represents, warrants and undertakes that he/she meets the eligibility requirements set out in Clause 2 above and he/she has read, understood, accepts and agrees to be bound by these Terms & Conditions and by the Contest rules (“Rules”).
   
5.
Only the Winner of the Contest will be notified. The Winner will be notified by 1 August 2008. HBOPP shall not be responsible for any delay, loss, mutilation or tampering of the Prize intimation letters or correspondences.
   
6.
 Each Participant acknowledges and agrees that HBOPP’s decision at all stages of the Contest is final and no enquiries or appeals shall be entertained. All Participants shall accept and abide by any and all decisions made by HBOPP concerning, without limitation, the Rules, the setting of question(s), selection and award of the Winner and Prize and any other matters relating to the Contest.
   
7.
 HBOPP reserves the right to substitute the Prize offered. The Winner acknowledges and agrees that risk and title in and to the Prize vests in the Winner upon issuance of the Prize, and in no event shall HBOPP be responsible or liable for any defect, warranty, loss or damage relating to the Prize.
   
8.
 The Participant acknowledges and agrees that copyright and all intellectual property rights in and to the HBO, Cinemax and all other HBO channel brands, all program titles and visuals, photos, names and likenesses of program characters and/or performers appearing on the Contest and/or on www.hbosouthasia.com (collectively, “HBO Property”) belong to HBOPP and its affiliated/ related companies (collectively, “HBO Companies”). The Participant shall not and has no right to use any HBO Property in any way whatsoever.
   
9.
 Each Participant hereby unconditionally and irrevocably grants HBOPP the right to use his/her name and/or photo, in any manner and in any media relating to HBOPP’s or any HBO Company’s marketing and promotional materials and/or official websites
   
10.
 For the avoidance of doubt, HBOPP shall not be responsible for any loss or damage in the event that it has to cancel or discontinue the Contest in compliance with any law, governmental regulations or directives, or for any other reasons beyond HBOPP’s control.
   
11.
 Non-compliance with or breach of any of these Terms & Conditions or any Rules shall immediately disqualify the Participant from further participation at any stage of the Contest, and any Prize or prizes won shall be forfeited, withheld or withdrawn.
   
12.
 HBOPP reserves the right to amend or vary any of these Terms & Conditions and/or any Rules by posting the amendments on its website www.hbosouthasia.com.
   
13.
 The Participant shall indemnify and keep each HBO Company indemnified from and against any and all loss, damage, claims and costs suffered and/or incurred by the HBO Company as a result of the Participant’s breach hereunder.
   
14.
 In the event of any inconsistency between the Rules and these Terms& Conditions, these Terms & Conditions shall prevail.
   
15.
 These Terms & Conditions shall be governed by and construed in accordance with the laws of India.
